| Aquent Pleased That Computer Horizons Accepts Results Of Shareholder Vote And Seats Two New Independent Directors
Boston, MA (June 4, 2003) – Aquent LLC, a privately held global professional services firm, announced it is pleased that at today’s re-convened Annual Meeting of Shareholders, Computer Horizons Corp. (Nasdaq: CHRZ) formally accepted the previously certified results of the election of Mr. Karl Meyer and Mr. Robert Trevisani to the Company’s board, and seated Mr. Meyer and Mr. Trevisani as directors.
John Chuang, Chairman and Chief Executive Officer of Aquent LLC, said, “Computer Horizons has finally recognized that their shareholders have spoken. We are confident that the Company and its shareholders will benefit from the independence, insight and experience of Mr. Trevisani and Mr. Meyer. The results of the shareholder vote clearly demonstrate that Computer Horizons shareholders want and expect a Board that will fulfill its fiduciary duty to explore all avenues open to the Company with the goal of maximizing shareholder value.
“Two separate courts have already determined to deny Computer Horizons’ multiple requests to set aside the independently certified election results. We firmly believe further appeals of these decisions are frivolous and a waste of corporate assets.”
“I want to reiterate that Aquent remains committed to its $5.00 per share premium cash merger proposal,” Mr. Chuang added. “We stand ready, willing and able to meet with the newly constituted Board and its financial advisors to negotiate a definitive agreement following a confirmatory diligence period as short as two weeks. We urge this Board to take the necessary steps to enable our diligence review to proceed in an expeditious fashion.”
As previously announced, the certified results confirm that shareholders of Computer Horizons have elected Aquent’s two independent director nominees, Robert A. Trevisani and Karl L. Meyer, to the Computer Horizons Board of Directors and that Computer Horizons shareholders have approved Aquent’s proposal to amend the Company’s bylaws to authorize shareholders who own 10% or more of Computer Horizons’ outstanding stock to call special meetings of shareholders.
